1. About These Terms
These Terms of Service (“Terms”) govern use of the website located at SoSmoothLogistics.com (the “Site”) and courier, delivery, transportation, routing and related services offered by So Smooth Logistics (“So Smooth Logistics,” “we,” “our,” or “us”).
Additional written quotes, account agreements, statements of work, customer-specific service agreements or other written agreements may contain additional terms. If an authorized written agreement expressly conflicts with these Terms, the specifically negotiated written agreement will control to the extent of that conflict.
2. Eligibility and Authority
You must have legal authority to request the applicable service. If you request service on behalf of a business, organization, shipper, consignee or other person, you represent that you are authorized to act on its behalf.
3. Delivery Requests Are Not Automatically Accepted
Submission of a website form, email, text message, telephone request or other inquiry is a request for service only. It does not guarantee acceptance, driver availability, pricing, pickup time, delivery time or formation of a service agreement.
A delivery is considered accepted only after So Smooth Logistics confirms the service or otherwise expressly accepts the assignment.
4. Quotes and Pricing
Unless expressly stated otherwise, quotes are estimates based on the information supplied by the customer. Final charges may change if the actual service differs from the information originally provided.
Additional charges may apply for circumstances including:
- additional mileage or stops;
- waiting or detention time;
- parking, tolls or access fees;
- after-hours, weekend or holiday service;
- incorrect or incomplete addresses;
- return trips or redelivery;
- special handling;
- oversized or unusually heavy items;
- changes requested after dispatch;
- restricted-access locations;
- temperature-control or specialized equipment when expressly agreed;
- other circumstances materially changing the requested service.
5. Customer Responsibilities
The customer is responsible for:
- providing accurate pickup and delivery information;
- providing accurate contact information;
- identifying special handling requirements before acceptance;
- ensuring items are ready at the scheduled pickup time;
- ensuring lawful and adequate packaging;
- accurately describing the contents when requested;
- disclosing regulated, hazardous or restricted materials;
- providing required documentation, labels and instructions;
- ensuring the recipient is available when required;
- complying with applicable laws and regulations.
6. Packaging
Unless So Smooth Logistics expressly agrees in writing to provide packing services, the shipper is responsible for selecting packaging appropriate for the contents and anticipated transportation conditions.
Acceptance of an item for transportation does not constitute a representation that its packaging is adequate, lawful or compliant with any specialized shipping requirement.
7. Prohibited and Restricted Items
So Smooth Logistics may refuse any shipment at its discretion or where transportation would violate applicable law, safety requirements, insurance restrictions, operating requirements or company policy.
Items requiring prior approval may include, without limitation:
- hazardous materials;
- infectious substances;
- biological specimens;
- regulated medical materials;
- dry ice shipments;
- controlled substances or prescription drugs;
- firearms, weapons or ammunition;
- currency, negotiable instruments or unusually high-value property;
- live animals;
- human remains or anatomical materials;
- illegal, stolen or contraband property;
- materials requiring licenses, permits or handling capabilities not held for the assignment.
Do not tender regulated or hazardous material without first receiving express confirmation that So Smooth Logistics will accept that specific material and service.
8. Medical and Healthcare Deliveries
Acceptance of medical-related transportation is subject to the nature of the material, applicable regulations, required handling procedures, packaging, documentation, equipment, personnel qualifications and the specific agreement with the customer.
No statement on this Site should be interpreted as an unconditional representation that So Smooth Logistics accepts every specimen, infectious substance, pharmaceutical, hazardous material or other regulated healthcare shipment.
9. No PHI Through the General Website Form
The general delivery-request form is not intended to receive protected health information (“PHI”), medical records, diagnoses, laboratory results, Social Security numbers, payment-card information or other unnecessary sensitive information.
Customers should provide only the minimum information reasonably necessary to request ordinary delivery service.
10. Pickup and Delivery Times
Unless expressly guaranteed in writing, pickup and delivery times are estimates. Travel times can be affected by traffic, weather, road closures, security procedures, building access, customer delays, accidents, governmental action and circumstances outside reasonable control.
11. STAT and Priority Requests
“STAT,” “Priority,” “Rush,” “Direct,” “Same-Day” and similar service descriptions identify requested service levels and do not constitute an unconditional guarantee of a particular completion time unless an authorized representative expressly confirms a guaranteed commitment in writing.
12. Recipient Availability
The customer must provide accurate delivery instructions and, where necessary, ensure an authorized recipient is available.
If delivery cannot reasonably be completed, So Smooth Logistics may contact the customer for instructions, wait when practicable, return the shipment, or arrange another delivery attempt. Additional charges may apply.
13. Proof of Delivery
Depending on the service, proof of delivery may include a recipient name, signature, timestamp, photograph, electronic confirmation, location information, delivery notation or other reasonable evidence of completion.
14. Chain of Custody
Chain-of-custody procedures are provided only when required for the particular service and agreed to by So Smooth Logistics. Customers must disclose chain-of-custody requirements before dispatch.
15. Temperature-Sensitive Shipments
Temperature-controlled or temperature-sensitive transportation must be specifically disclosed and accepted before pickup.
Unless expressly agreed otherwise in writing, the shipper remains responsible for suitable packaging, refrigerants, temperature ranges, preparation and regulatory labeling.
16. Cancellations and Changes
Customers should cancel or modify requests as early as possible. Charges may apply after a driver has been assigned, dispatched, arrived at the pickup location, incurred expenses or begun performing the service.
17. Waiting Time
Waiting or detention charges may apply when a courier is delayed at a pickup, delivery, security checkpoint, loading area or other location beyond the time reasonably included in the quoted service.
18. Payment
Payment terms will be stated in the applicable quote, invoice, account agreement or other written arrangement. Customers are responsible for authorized charges and applicable taxes, fees and agreed expenses.
19. Loss or Damage
Customers must promptly report suspected loss or damage and preserve packaging, documentation, photographs and other evidence reasonably necessary to evaluate a claim.
No statement on this Site creates cargo insurance or declared-value protection. Any liability limits, declared-value options or insurance arrangements applicable to a shipment should be established in the applicable service agreement or written quote.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SO SMOOTH LOGISTICS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITY OR SIMILAR ECONOMIC LOSS ARISING FROM USE OF THE SITE OR SERVICES.
Any shipment-specific limitation of liability will be governed by the applicable quote, service agreement, tariff, declared-value arrangement or other written agreement, and applicable law.
21. Customer Indemnification
To the extent permitted by law, a customer may be responsible for losses, claims, penalties, damages or expenses arising from the customer's unlawful shipment, inaccurate description, inadequate packaging, failure to disclose hazardous or regulated contents, lack of authority, or violation of applicable law.
22. Force Majeure and Events Beyond Reasonable Control
So Smooth Logistics is not responsible for delays or inability to perform caused by circumstances beyond reasonable control, including severe weather, natural disasters, road closures, civil emergencies, government action, labor disruptions, widespread network outages, accidents or other extraordinary events.
23. Website Information
We endeavor to maintain accurate website information, but website content may contain errors or become outdated. Service descriptions are general descriptions and do not guarantee availability.
24. Intellectual Property
The Site's branding, logos, original text, graphics, design elements and other proprietary content are owned by or licensed to So Smooth Logistics and may not be reproduced or commercially exploited without permission, except as permitted by law.
25. Acceptable Website Use
You may not:
- interfere with the operation or security of the Site;
- attempt unauthorized access to systems or data;
- submit fraudulent or malicious requests;
- introduce malware or harmful code;
- use automated systems to abuse the Site;

26. Third-Party Services

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
30. No Waiver
Failure to enforce a provision on one occasion does not necessarily waive the right to enforce it later.

We may update these Terms as our services, practices or legal obligations change. The current version will be posted here with an updated effective date. Material changes may be communicated through additional reasonable means when appropriate.
